What is a Registered Agent?

A registered agent is responsible for receiving important legal and tax documents on behalf of a
business in the state where the business is formed or is foreign qualified.  Service of Process, the
document that initiates a lawsuit, is served upon the registered agent of a business.  Improper handling
of such documents can result in significant adverse consequences to the business.  Each and every
entity, either domestic or foreign, must designate an Agent which may be contacted for the purpose of
service of legal process.

In the event that a corporation is sued, the subpoena is served on the registered agent rather than on the
President or other officers of the corporation. The Statutory Agent, in turn, forwards the legal process to
the principals of the corporation.

This system has two primary advantages:
1) it relieves the corporation from the inconvenience and embarrassment of having process servers call
on them; and

2) it provides a professional receiver for the process who will know how to handle it. Often in small
corporations there is no one at the office who knows the proper action to take in the event they are served
with a subpoena, often resulting in the process being ignored or mishandled.

The registered agent must have a physical presence and address, and must be available during normal
